The Company has established a strategic relationship with an international psychological health & management consulting firm, Wilson Banwell & Associates Ltd.; this firm is a Preferred Service Provider (PSP) and is ultimately responsible for providing direct (i.e., "face-to-face") clinical services required to support the company's chat rooms and courses.

UCounsel provides the technological infrastructure and educational content for utilization by providers of mental health and wellness products and services. These providers include healthcare insurers and the institutions that typically administer and manage benefit plans such as Health Maintenance Organizations (HMO's), Preferred Provider Organizations (PPO's), Point of Service plans (POS's), Medicare & Medicaid plans, and Employee Assistance firms. They also include individual professional practitioners (e.g., physicians, psychiatrists & psychologists). Collectively, this group constitutes UCounsel's institutional (i.e., Business-to-Business) client base. The company's secondary market consists of the casual Web surfer market and individuals that have exceeded their health benefit coverage for mental health services and are required to pay for these services themselves. This group constitutes the company's surfer (i.e. Business-to-Consumer) client base.

Process Individuals with health benefit coverage (i.e., clients of the institutions noted above) can log onto the UCounsel Web site and choose from the options available to them as determined by their respective health plans. Surfer clients, after entering the site, may be directed to a particular product or service once their primary interest and readiness for change is identified. UCounsel has developed a proprietary assessment tool that determines particular interests and readiness for change. This way, clients are not subjected to an overwhelming number of health issues through which they have to navigate before finding what they really need.

UCounsel's products and services are not intended to replace traditional forms of counseling, but are designed to add a new dimension and value to the professional, traditional provider and to benefit the client for whom formal counseling may be inappropriate or unnecessary.

A quarter of the patients seen by primary-care physicians have psychological disorders (APA Practice Directorate), and those with diagnosable mental disorders visit their primary-care physician twice as many times on average than do patients without mental disorders. The burden of mental health suffering to the health care system and to society in general is substantial.
